Terms and Conditions - Subscription Agreement

EXPONEER (the "Product") is a brand name owned and operated by Mondas JSC (reg. 304217890), and is provided to you ("You") under these Terms and Conditions ("Terms"). By accessing, browsing and using our Product through whatever platform, you acknowledge and agree to have read, understood and agreed to the Terms set out below. These Terms may be amended from time to time without prior or personal notice.
By completing the electronic registration process and clicking the "get started" button, You represent and warrant that You: (i) are authorized to sign for and bind the contracting party and (ii) agree to be bound by all of the Terms of this agreement.

1. DESCRIPTION OF PRODUCT

EXPONEER is a virtual marketplace of exhibitions and conferences, which allows individuals and organizations to conduct virtual showcases, trainings, present information and demonstrate products/services online, thereby boosting lead generation, and improving communication with employees, partners, customers and prospects. EXPONEER allows participants to relate virtual marketplace with their willing business or science region and takes place on the principle 365/24.

2. REGISTRATION

To use the Product, You must submit a complete EXPONEER registration, which is available at www.exponeer.com
As a part of the registration process for the Product, You agree to provide certain information about You as prompted to do so by the Product (such information must be current, complete and accurate) and maintain or update this information as required in order to keep it current, complete and accurate. If Exponeer administrator discovers that any of Your registration data is inaccurate, incomplete or not corresponds to Exponeer quality principles, he (she) may in its sole discretion terminate or restrict Your right to access without notice and explanation. You may not register for Product if You are under 18 years of age. Upon acceptance of this agreement and completion of the registration process, You have to open an account with Exponeer and become a subscriber to the Exponeer Service.

3. SCOPE OF SERVICE

There are two types of users in Exponeer: Visitors and Exhibitors.
A Visitor is a regular user, who has external access to information without registration: he can go through the products, services and watch presentations at conferences. Registered Visitors have additional options to create own business cards, download related information, save selections, create a list of favorite products/services/presentations, send business cards and initiate video calls. The Visitor can register as a person or as a representative of the organization.
Only organization (company, university, institution ...) can become an Exhibitor going through the registration process. Registered Exhibitor has all external and internal access to the Product. Internal access means that user can create his own stands or presentations, upload pictures, video, brochures, initiate video calls, get and send business cards. Scope of service vary depending on Product development.
Each Visitor and Exhibitor remain responsible for the accuracy, completeness and correctness of the information displayed on Exponeer site. Our web administrator, at its discretion, has a right to suspend user account or/and delete some products/service/presentations in order to restrict low quality, offensive, illegal information etc.
Exponeer is made for personal and commercial use. You are not allowed to re-sell, deep-link, use, copy, monitor (e.g. spider, scrape), display, download or reproduce any content or information, software, products or services related with Exponeer for any commercial or competitive activity or purpose except the ways are available in Exponeer web site menu.
When rendering our services, the information that we disclose is based on the information provided to us by Exhibitors. Although we use reasonable skills and take care of our services we cannot guarantee that, all information is accurate, complete or correct, nor can we be held responsible for any errors (including manifest and typographical errors), any interruptions breakdown, repair, upgrade or maintenance of our website, inaccurate, misleading or untrue information or non-delivery of information.

4. PRIVACY AND COOKIES

Exponeer values Your trust and commits to protect and safeguard any personal information. During a registration, you will be asked for your name, address, phone number, email address, payment information, the names of your company... To make it easier to manage Your payments, you can open a user Profile. This allows You to save Your personal settings, review previous payments and manage future payments. When You visit exponeer.com, even if you do not make payment or registration, we may collect certain information, such as Your IP address, which browser You are using, and information about Your computer's operating system, application version, language settings and pages that have been shown to You. If You are using a mobile device, we might also collect data that identifies Your mobile device, device-specific settings and characteristics and latitude/longitude details. We may also receive information about You when You use certain social media services. We use this data for: Customer service; Account administration; Market research; Fraud detection and prevention; Improving our services
In accordance with European data protection laws, we observe reasonable procedures to prevent unauthorized access and the misuse of personal information. We use appropriate business systems and procedures to protect and safeguard the personal information You give us. We also use security procedures, technical and physical restrictions for accessing and using the personal information on our servers. Only authorized personnel are permitted to access personal information in the course of their work. We do not store your credit card details.
We, as Personal data collectors, are registered and approved by Lithuanian State Data Protection Inspectorate (www.ada.lt).
You can delete Your user account at any time by signing into Your account on the exponeer.com website and choosing to "Delete Your account". If You have any suggestions or comments about this privacy notice, please contact us by an e-mail help@exponeer.com

5. PRICES AND PAYMENTS

There is no price list in Exponeer. Not only most of the options are free, but also, after registrations You get a bonus that enables You to test Exponeer's possibilities. Nevertheless, if You aspire to expand Your business, You can choose some paid services, which vary depending on the way You play. You can combine Your activity with feedback anytime.
There is a particular algorithm witch sets prices regarding many variables - we promote active users, but at the same time restrict amateurish ones; we control traffic to avoid too much information; we punish spammers and etc. For instance, for regular user to send a visit card costs about 0,1 Eur, but in case we detect spammer, the cost jumps to 50 Eur.
Payment is safely processed from Your credit/debit card or online payment to the Exponeer.com through a third party payment processor. All completed payments You can see in Account Settings menu.
Please note that allowing a credit card to expire or not submitting payment by check regardless of invoice receipt status will not automatically cancel your account as we maintain all account data, allow subscriptions to occur, and allow you access to Your account. You will remain responsible for paying the charge, which will accrue to Your account, until we receive a cancellation notice.
We will send notice to the email on record if a card is declined. We reserve the right to send delinquent accounts to a collection agency if they are not paid within 3 months.
In the event of credit card fraud or unauthorized use of your credit card by third parties, most banks and credit card companies bear the risk and cover all the charges resulting from such fraud or misuse, which may sometimes be subject to a deductible. In order to indemnify You, please make sure that You report this fraud to Your credit card provider and contact us immediately by an email (help@exponeer.com). Please state "credit card fraud" in the subject line of Your email and provide us with evidence of the charged deductible.

6. PASSWORD AND SECURITY

As part of the registration process, You will use Your email address as Your user name and You will choose Your passwords for access to this account and to Your designated computers. You agree to carefully safeguard all of Your passwords. You are solely responsible if You do not maintain the confidentiality of passwords and account information. Furthermore, You are solely responsible for any and all activities that occur under Your account. You agree to immediately notify Exponeer of any unauthorized use of Your account or any other breach of security known to You, including if You believe that its password or account information has been stolen or otherwise compromised.

7. INTELLECTUAL PROPERTY RIGHTS

The software required for our services or used by our website and the intellectual property rights (including the copyrights) of the contents and information on our website are owned by Mondas JSC (reg. 304217890).
Exponeer.com exclusively retains ownership of all rights, title and interest in and to (all intellectual property rights of) the website on which the service is made available (including the guest reviews and translated content) and you are not entitled to copy, scrape, (hyper-/deep) link to, publish, promote, market, integrate, utilize, combine or otherwise use the content (including any translations thereof and the guest reviews) or our brand without our written permission. To the extent that you would (wholly or partly) use or combine our (translated) content (including guest reviews) or would otherwise own any intellectual property rights in the website or any (translated) content or guest reviews, you hereby assign, transfer and set over all such intellectual property rights to exponeer.com. Any unlawful use or any of the aforementioned actions or behaviour will constitute a material infringement of our intellectual property rights (including copyright and database right).

8. DISCLAIMER

You expressly agree that use of the Product is at Your sole risk and is provided on an "as is" basis. Exponeer expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Exponeer makes no warranty that the service will meet your requirements or that the service will be uninterrupted, timely or error free, nor does Exponeer make any warranty as to the results that may be obtained from the use of the Product. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of the Product is done at Your own risk and that You will be solely responsible for any damage to Your computer system or loss of data that results from the download of such material and/or data. No information or advice, whether oral or written, obtained by You from Exponeer shall create any warranty not expressly made herein. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9. LIMITATION OF LIABILITY

In case of some inability to serve the Product, Exponner is responsible to restore usage as soon as possible. Exponeer is not responsible for loss of profits, contacts, even if Exponeer has been advised of the possibility of such damages. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages so some of the above limitations may not apply to you.

10. GENERAL TERMS

These Terms are governed in all respects by the laws of The Republic of Lithuania as such laws are applied. Both parties submit to personal jurisdiction in Lithuania and further agree that any cause of action relating to these Terms shall be brought in a court in Lithuania. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced. Exponeer's failure to act with respect to a breach by You does not waive Exponeer's right to act with respect to subsequent or similar breaches. You may not assign or transfer this Agreement or any rights hereunder, and any attempt to the contrary is void. This Agreement shall inure to the benefit of and be binding upon each party's successors and assigns. Exponeer shall not be liable for any delay or failure resulting directly or indirectly from any causes beyond Exponeer's reasonable control. Unless otherwise provided in this Agreement, any notice required or permitted to be given under this Agreement shall be delivered (i) by hand; (ii) by registered or certified mail, postage prepaid and return receipt requested to the address provided by the other party, or to such other address as a party may designate by written notice; (iii) by overnight courier or (iv) by electronic mail with confirming letter mailed under the conditions described in it (ii). Notice so given shall be deemed effective when received, or if not received by reason of fault of addressee, when delivered. These Terms constitute the complete and exclusive understanding and agreement of the parties relating to the subject matter hereof and supersedes all prior understandings, proposals, agreements, negotiations and discussions between the parties, whether written or oral.
